Introduction
Welcome to Red, Light & Magic consulting, llc (“rlm”, “we,” “our,” or “us”). These Terms and Conditions govern your access to and use of our website www.rlm.llc and the services we provide, including Online Store Design, Web Design, Online Store Maintenance, SEO, SEM, Social Media Management, Custom Development, and Hosting. By accessing or using our website and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please refrain from using our services.
1. Services Provided
We offer a variety of services, including but not limited to:
•Online Store Design for PrestaShop and WordPress, where we provide customized eCommerce solutions.
•Web Design for corporate websites, data processing sites, and other custom platforms.
•Online Store Maintenance, which includes technical support, security updates, module installation, and routine maintenance for PrestaShop and WordPress stores.
•SEO (Search Engine Optimization), SEM (Search Engine Marketing), and Social Media Management to enhance your online visibility.
•Custom Development for businesses requiring specialized features or functionality.
•Hosting Services for PrestaShop and WordPress, available as an optional service with specific resource limits as detailed below.
Each service may have additional terms and conditions specific to that service, which will be provided upon request or at the time of contracting.
2. Service Limitations
Our services are provided on an “as-is” basis with reasonable care and skill. Certain limitations apply, including but not limited to:
•Online Store Maintenance is intended only for stores that are already operational. Maintenance does not include creating or completing partially built stores, custom coding, or extensive troubleshooting of code issues.
•SEO, SEM, and Social Media services require separate agreements due to the time, complexity, and resource commitments involved.
•Hosting Services are subject to a reasonable use policy, with limitations on disk space, bandwidth, email accounts, databases, and FTP accounts. Hosting services are limited to a single eCommerce website per client and cannot be used for multiple sites or purposes other than eCommerce.
•Custom Development is billed separately and requires a custom quote.
3. Payments and Pricing
All services are billed in advance on a monthly or project basis, depending on the service provided:
•Monthly Services (such as Online Store Maintenance) are billed in advance at the start of each month. Failure to pay by the due date may result in suspension or termination of services.
•Project-Based Services (such as Web Design or Custom Development) are billed according to a mutually agreed payment schedule outlined in your service contract.
•Payments may be made by debit/credit card, PayPal or Crypto currencies.
4. Cancellations and Refunds
•Monthly Services: You may cancel your monthly service subscription at any time with at least 24 hours’ notice before the start of the next billing cycle. Refunds are not provided for partially used months.
•Project-Based Services: Deposits for project-based services are non-refundable once work has commenced. If you cancel a project, you will be billed for any work completed up to the cancellation date.
5. Ownership and Licensing
•Modules and Plugins: Modules, plugins, and other software tools we provide for PrestaShop or WordPress are licensed to RLM. You have the right to use these under a GPL license, but ownership of the developer’s license remains with us. You will lose access to updates if you cancel maintenance, though the module or plugin will remain functional. To continue receiving updates, you may either re-subscribe to maintenance or purchase your own license.
•Intellectual Property: All original content, designs, and code created by us are the property of RLM unless otherwise specified in a custom agreement.
6. Use of Services
By using our services, you agree to comply with all applicable laws and regulations. You further agree not to:
•Use our hosting services for purposes outside of eCommerce.
•Request or use modules or services outside the scope of maintenance, such as extensive custom development without a separate agreement.
•Engage in any activity that could harm or interfere with the security, performance, or reliability of our services.
7. Technical Support and Communication
All technical support requests must be submitted through our support portal via support tickets. We do not offer support via WhatsApp, and phone calls are reserved for discussing proposals, projects, and other non-technical matters. We strive to respond to all tickets within 24 hours, though response times may vary depending on the complexity of the request.

10. Limitations of Liability
To the maximum extent permitted by law, RLM shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of our services, including but not limited to:
•Data loss or corruption.
•Security breaches outside of our reasonable control.
•Downtime or interruptions caused by third-party services or providers.
•Any loss of business or profits.
Our total liability for any claim arising under these terms shall not exceed the amount paid by you for the specific service in question.
11. Indemnification
You agree to indemnify and hold harmless RLM, its employees, and agents from and against all claims, damages, liabilities, and expenses arising from your use of our services or breach of these terms.
12. Changes to Terms and Conditions
We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and we encourage you to review these terms regularly. Continued use of our services after changes have been posted constitutes your acceptance of the updated terms.
13. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Missouri, United States, without regard to its conflict of law principles.
